Terms of Service

Version 2026-10-28 (draft for legal review)

These terms govern the use of the Orvo Rental platform (the "Service"), operated by [LEGAL ENTITY NAME], [REGISTERED ADDRESS], company registration number [COMPANY REGISTRATION NUMBER] ("we", "us"). By creating an agency on the Service or using it on behalf of an agency, you accept these terms on behalf of that agency (the "Agency", "you").

1. What the Service is

The Service is software for car-rental agencies: a fleet and reservation system, pricing rules, a team area with roles, a public website for the Agency on an address under our domain, support tickets and the related e-mails. We provide the software and its hosting. We are not a party to any rental contract between the Agency and its customers, we do not provide insurance, and we do not process payments between the Agency and its customers unless a payment feature is explicitly offered and enabled.

2. Account, agency and users

An agency is created by a person who confirms they are authorised to act for it. The Agency is responsible for everyone it invites into its team, for the roles it gives them and for keeping sign-in credentials and two-factor devices safe. The Agency must tell us without delay if it suspects unauthorised access. Each person may be invited to several agencies; what they may see and do is decided by each Agency's roles.

3. Trial, plans and fees

New agencies start on a free trial of the length shown at sign-up, without a payment card. When the trial ends without a chosen plan, the Agency's admin becomes read-only: its data stays, its website keeps taking requests, and choosing a plan opens everything again. Plans run month to month with no minimum term. Prices are shown per month, excluding taxes, in the currency shown on the pricing page; the limits of each plan (vehicles, team members, branches and add-ons) are those shown there at the time of choosing. We may change prices and plans with at least 30 days' notice by e-mail; the change applies from the next monthly period. Invoicing and payment collection are described on the pricing page or in the plan confirmation; where no payment facility is offered yet, fees are agreed and settled directly with us.

4. Non-payment, read-only mode and suspension

If a fee is overdue, we may set the Agency to read-only after notice. If it stays unpaid for 30 days after that notice, we may suspend the Agency: its website and admin stop answering until the matter is settled. We may suspend an Agency without notice when its use of the Service breaks the law, these terms or threatens the security or stability of the Service for others.

5. The Agency's responsibilities

The Agency is the controller of the data it enters about its customers, drivers, vehicles and reservations. It must have a lawful basis for that data, inform its customers as the law requires, and honour their rights. The Agency sets its own rental terms, prices, deposits, insurance and cancellation rules; the Service only records and displays them. The Agency must not use the Service to send unsolicited messages, to store content it has no right to store, to attack or probe the Service, to circumvent plan limits, or to resell the Service without our written agreement.

6. Our responsibilities

We host the Service on servers we manage, keep it updated, keep each agency's data separate from every other agency's on the server, take regular backups, and protect access with encryption in transit and with access controls. We aim for continuous availability but do not guarantee it; planned maintenance is announced when it affects use, and we restore the Service as fast as we reasonably can after an outage. Support is provided through the support area in the admin and by e-mail at [email protected], during business hours in [JURISDICTION].

7. Support access to your agency

Our support staff can open an Agency's admin only after the Agency approves a request, for a limited time (24 hours at most per approval) and within the scope the Agency allows. Every action taken under such access is recorded in the Agency's change log under the support person's name. The Agency can end that access at any time.

8. Data, backups and export

The Agency's data belongs to the Agency. We use it only to provide the Service, to keep it secure and to meet legal duties. The Agency can export its reservations and customers from the admin at any time. On termination, the Agency may export its data for 30 days; after that we delete it, except what we must keep by law or for accounting. Backups are kept for a limited period and then overwritten.

9. Changes to the Service

We improve the Service continuously. Features marked as planned or coming are not part of any plan until they are released. We may change or retire a feature with reasonable notice when it affects the Agency's use; we never remove a way to export the Agency's data.

10. Termination

The Agency may stop its plan at any time by telling support; the plan ends at the end of the current monthly period and the trial, if any, needs no cancellation. We may end the agreement with 30 days' notice, or without notice in the cases of section 4. Sections 8, 11 and 13 survive termination.

11. Liability

The Service is provided with the care of a professional provider. To the extent the law allows, we are not liable for indirect losses, lost profit or lost business, nor for losses caused by the Agency's own content, prices or rental decisions, by its customers, or by events outside our reasonable control. Our total liability for all claims in any twelve-month period is limited to the fees the Agency paid us in that period. Nothing in these terms limits liability that cannot be limited by law.

12. Changes to these terms

We may update these terms. The current version and its date are shown on this page; material changes are announced by e-mail at least 30 days before they apply. Continued use after that date means acceptance; an Agency that does not accept may end its plan under section 10.

13. Governing law and contact

These terms are governed by the law of [JURISDICTION]; the courts of [JURISDICTION] have jurisdiction, without prejudice to mandatory consumer or business protections that apply to the Agency. Questions about these terms: [email protected], or in writing to [LEGAL ENTITY NAME], [REGISTERED ADDRESS].
